Whereas I have made several investments in the shares and debentures of various companies, units of mutual funds and units of the Unit Trust of India.

Whereas I am normally resident outside India.

Whereas I am desirous of appointing my father, Shri _______ ________________, residing at (ADDRESS) _____________________________ to be my true and lawful attorney for the purpose of buying, selling and otherwise dealing in shares and debentures in Indian companies, units of mutual funds and of the Unit Trust of India and all other securities and to operate depository account on and for my behalf.

hereby appoint, constitute and nominate the said Shri ________________, residing at (ADDRESS) ____________________, (hereinafter referred to as the "said attorney") to be my true and lawful attorney to act on behalf of me and in my name and on my behalf, to execute and perform all or any of the following acts, deeds, matters and things, that is to say :-

1. To buy, sell, transfer or otherwise deal in shares and debentures of Indian companies, units of mutual funds and of the Unit Trust of India and all other securities for and on my behalf.

2. To open, operate and close any depository account under Indian laws for and on my behalf in respect of shares and debentures of Indian companies, units of mutual funds and of the Unit Trust of India and all other securities for and on my behalf.

3. To sign, execute and register in my name and on my behalf such deeds or instruments of transfer in respect of shares and debentures of Indian companies, units of mutual funds and of the Unit Trust of India and all other securities, whether in physical form or in dematerialized form, purchased in my name and on my behalf.

4. To sign all applications, transfer deeds, depository instruction slips, dematerialization request forms and other writings for the purpose of purchasing shares and debentures of Indian companies, units of mutual funds and of the Unit Trust of India and all other securities for and on my behalf.

5. To commence, prosecute any suit or proceedings in any Court, civil or criminal or Tribunal and to defend any action adopted against in any matter regarding the aforesaid premises.

6. For the purpose of affirming and declaring plaints, written statements, affidavits, petitions, appeals and other papers, to do such acts as are necessary for enforcing my rights, interests and title in respect of such shares and debentures of Indian companies, units of mutual funds and of the Unit Trust of India and all other securities.

7. Whether before suit or during suit, to make application or after decree, to settle, compromise or compound or to submit to arbitration claims and to submit to any award or make any settlement or adjustment of any amount in connection with the aforesaid shares and debentures of Indian companies, units of mutual funds and of the Unit Trust of India and all other securities.

I hereby agree and undertake to confirm and ratify all acts, deeds and things which my said attorney shall lawfully do or cause to be done by virtues of this deed and that all such acts will not be revoked by me or any other person claiming through me.
