Whereas we are
carrying on business in the firm name & style of M/s
_____________________ (hereinafter referred to as the "said firm") at
______________________________________________________ and having branch
office at ADDRESS_________________________________ as importers,
exporters, dealers, manufacturers, merchants and agents in _________
(hereinafter referred to as the "said business") .
Whereas being
unable to personally attend to the several matters relating to the said
business of the said firm, we are desirous of appointing Shri
_______________________, son of Shri ________ _________________ and
residing at ADDRESS_____________________________ to be our true and lawful
attorney for the purposes hereinafter expressed.
NOW KNOW ALL YE
AND THESE PRESENTS WITNESS THAT WE, (1) Shri ____________, residing at
_______________,Indian inhabitant of New Delhi and (2) Shri _____________,
residing at ___________________________________________, Indian inhabitant
of New Delhi, all partners of M/s ____________, do hereby appoint,
constitute and nominate the said Shri _______________________, son of Shri
_______________ and residing at ________________________________________
(hereinafter referred to as the "said attorney") to be our true and lawful
attorney to act on behalf of us and in our name and on our behalf and for
and in the name of and on behalf of our firm, to execute and perform all
or any of the following acts, deeds, matters and things, that is to say
:-
1. To conduct, carry on and manage the said business of import,
export, dealing, manufacturing, trading and acting as agents in ________
and any other business which the said firm collectively decides to carry
on and to do all acts, things, deeds and matters necessary or expedient in
that behalf and to transact all the affairs thereof.
2. To effect
sales on behalf of the said firm, to purchase goods, to keep accounts, to
prepare bills and to receive payment from the government or any public or
private authority or person or persons on account or in full payment of
the business of the said firm and to give receipts, releases and
discharges relating to the business of the said firm.
3. For the
aforesaid purposes, to make and effect all such sales, purchases, dealings
and transactions as the said attorney may deem necessary or expedient of
all or any of the goods and other property whatsoever and to engage such
employees or to discharge or re-appoint any of them as our said attorney
may consider necessary.
4. To ask, demand, sue for recovery and
receive of and from all persons and bodies of politic and corporate liable
to pay all sums of monies, debts and dues, owing and payable to the said
firm or which may be at any time or times hereafter be owing to the said
firm and to sign and execute receipts, releases and other discharges for
the same.
5. To open any banking account in the name of the said
firm in any bank at any place and to operate the said account and to close
it and to negotiate with any bank or banks or with the Central or State
Governments for any loan or loans and to receive it in the name of the
said firm and for such purpose, to draw bills, drafts, cheques and to sign
such papers or documents that may be necessary on behalf of the said firm.
6. To draw, accept, endorse, negotiate, pay or satisfy any Bills
of Exchange, hundies, orders for payment of delivery of monies, securities
or goods, bills of lading or other negotiable instruments or securities
which may be deemed necessary or proper in relation to the business of the
said firm.
7. To conduct all correspondence on behalf of the said
firm with the government or local authority and/or with any other person
or persons.
8. To sign all applications, forms, declarations,
statements and other writings for the purpose of any quota or rights or
for any other purpose, to apply for licenses or for any other requirement
of any government or semi-government body or bodies and to sign the
necessary forms and documents.
9. To commence, prosecute any suit
or proceedings in any Court, civil or criminal or Tribunal and to defend
any action adopted against the said firm in any Court.
10. Before
any Court or Courts of Justice, to appear for and on behalf of the said
firm either as a plaintiff or defendant or intervenor or to prosecute or
to defend any suit or suits or other proceedings brought by or against the
said firm or to proceed to Judgment or to suffer Judgment by way of
non-suit or default to be entered against the said firm or to admit any
claim or claims which may be brought against the said firm in any
Judgment, Order or Decree of the concerned court in respect of any of the
said matters or to appeal or to prosecute such appeals before any Judge in
various courts and the Supreme Court of India or for any judgment, order
or decree of the High Court, to appeal to the Supreme Court of India or to
give all necessary securities and sign all the necessary bonds for the
prosecution of such appeals and also to file revision applications, to
prosecute these to final judgment, decree or award and to proceed in
execution against the person or persons or property or properties of the
judgment debtor or judgment debtors and to recover and realize the amounts
of such debts, decrees, interests and costs and also to defend and
prosecute the execution proceedings till the decretal amounts are
realized.
11. To sign returns and documents for the purposes of
income tax, wealth tax, gift tax, sales tax, excise duty, customs duty and
other taxes, to appear before the taxation authorities on behalf of the
said firm, to represent the said firm in proceedings before such
authorities, to file appeals and revisionary petitions before such
authorities and to claim and receive any refund, rebate or drawback in
respect of the aforesaid matters on behalf of the said firm.
12. To
apply for each and every purpose to the local authority or authorities
concerned for each and every affair of the said firm including payment and
refund as regards the business of the said firm.
13. To accept
registered and other letters and to correspond and reply to any letters
received in respect of and incidental to the business of the said firm
with person or persons and/or authority/authorities.
14. For the
purpose of affirming and declaring plaints, written statements,
affidavits, petitions, appeals and other papers, to do such acts as are
necessary for such purposes.
15. Whether before suit or during
suit, to make application or after decree, to settle, compromise or
compound or to submit to arbitration claims and to submit to any award or
make any settlement or adjustment of debts.
16. To deposit or
withdraw any money for the purposes of any proceeding or to withdraw from
any suit.
17. To file application for the execution of decree or
orders in suits and to sign and verify such applications.
18. To
receive any money due to the said firm under the suits, and/or
decrees/orders and to verify payments to courts.
19. To obtain
copies of documents and papers in respect of the said firm.
20. To
apply for inspection of and to inspect documents and records.
21.To
accept any process or processes, which may from time to time be issued
against the said firm from any of the said courts.
22. To
compromise disputes and differences, refer matters to arbitration, sign
bonds or arbitration and execute and enforce any award.
23. To
state and finally settle and adjust all accounts, reckonings and demands
whatsoever between us and any person or persons whosoever and to receive
the balance or balances thereof, if any.
24. To compound for and
receive in part or the whole or give reasonable time to payment of monies
and delivery of property or to take security as the said attorney shall
judge advisable or expedient.
25. To prove any debt or debts due to
the said firm by any person who shall be adjudged an insolvent in any
Court or Courts and to accept any offer or compensation to be made by any
such insolvent and to note in the election of assignees of such insolvent
and otherwise to represent and act for such purpose on behalf of the said
firm in such insolvency proceedings.
26. To appoint on behalf of
the said firm and on our behalf, any advocates, solicitors, attorneys and
to instruct them.
27. To generally do, execute and perform all such
acts, deeds, matters and things whatsoever which the said attorney shall
think necessary and proper in respect of the said firm and its affairs and
to do all acts, deeds and things in respect of the said firm and its
affairs which we could personally do.
28. AND WE do hereby for
ourselves and the said firm covenant with the said attorney to ratify and
confirm all and whatever the said attorney may lawfully do or cause to be
done by virtues of these presents.
29.This power of attorney shall
become enforceable on acceptance by the said attorney to act as
such.
